Event Terms & Conditions

These Terms and Conditions (“Terms”) apply to your registration for and participation at a LogicGate event, including, without limitation, any LogicGate conference, invite-only event, and registered events (“Event”). By registering, participating in, or attending an Event, you acknowledge that you have read, understand, and agree to the following Event Terms between you and LogicGate, Inc., including our subsidiaries and affiliates (“LogicGate,” “we,” “our,” or “us”).
Registration
You may only register for and attend the Event in accordance with these Terms. To register for the Event, you must complete the applicable Event registration process and pay any applicable registration fee(s). Event registration is subject to availability, and we may change the Event program at any time or cancel events, as determined solely by us.
Participation
In order to participate in the Event, you must:
- Have the requisite power and authority to enter into these Terms Have read and understood these Terms,
- Comply with our Event Code of Conduct, below, at all times, and
- Be at least 21 years old, or otherwise over the legal drinking age in your jurisdiction on the first day of the Event, if alcohol is being served at the Event.
Code of Conduct
We are dedicated to providing an Event experience that is safe and free from harassment for all participants, regardless of gender, age, sexual orientation, disability, physical appearance, body size, race, ethnicity or religion. All participants of the Event, including attendees, speakers, exhibitors, sponsors, vendors, and media (“Participants”), are expected to conform to this Code of Conduct for the duration of the Event and at the Event venue(s). We will enforce this code throughout the Event and at the Event venue(s), including presentations, workshops, social events and other related online media.
Unacceptable Behavior
Unacceptable Behavior includes, but is not limited to:
- Offensive written or verbal comments related to gender, age, sexual orientation, disability, physical appearance, body size, race, ethnicity or religion.
- Inappropriate physical contact and unwelcome sexual attention.
- Deliberate stalking or following of other participants.
- Harassment via unauthorized photography or recording (sound or video) of other Participants.
- Disruption of presentations and other events at the conference.
- Possession of items that may cause harm or danger to other Participants.
- Failure to adhere to rules and regulations of the Event venue (e.g. Smoking within Event venue).
- Failure to obey the rules and regulations set by the conference organizer (e.g. Not abiding by the dress code or any other stated admission terms and conditions).
- Advocating or encouraging any unacceptable behavior
Safety and Security
You understand that you and your property may be subject to a reasonable search upon entry to the Event. If you refuse to participate in our security measures, you may be denied entry to the Event.
Reporting of Unacceptable Behavior; Consequences
If You are subjected to unacceptable behavior, have witnessed fellow Participants being treated poorly, or have additional concerns, please do not hesitate to approach any of the Event organizers or LogicGate employees or by emailing [email protected]. All reports made will be kept confidential. In the event of an emergency, please contact local authorities immediately. We value all Participants’ attendance and strive to keep the Event welcoming for all.
We will not tolerate any form of unacceptable behaviors. Offenders are expected to comply immediately when asked to stop any unacceptable behavior. We may take any action we deem appropriate against any Participant who engages in unacceptable behavior or violates the Code of Conduct, and this could include a verbal warning or expulsion from the Event without refund.
We reserve the right to ask you to leave the Event if:
- Your behavior causes concern for the safety or security of LogicGate or any of the Participants
- You engage in behavior that violates these Terms or the Code of Conduct, or
- You exhibit harassing or other prohibited behavior and do not comply immediately.
Dress Code; Right to Refuse Admission
The dress code for the Event is business casual. We reserve the right to refuse admission to Participants who are not appropriately dressed or do not fulfill admission requirements outlined herein.
If We or an Event representative denies you entry or requires you to leave the Event, you will not receive a refund if you paid any fees.
Collection and Use of your Personal Business Information
By registering for a specific event, you agree to LogicGate’s collection and processing of the Personal Business Information you submit. Your Personal Business Information will be processed in accordance with our Privacy Policy.
Your information will be used for the following purposes:
- As part of the event:
- to communicate with you regarding the specific event for which you registered;
- as reasonably necessary for the management and organization of the specific event for which you registered;
- for our internal reporting purposes; and
- for any other purpose to which you consent in connection with the specific event.
- To provide you with communications regarding LogicGate’s products and services; and
- For provision to our Sponsors (see the “Right to Share Contact Information” below).
“Personal Business Information” shall mean information collected for the specific event that includes, but is not limited to, your name, title, company name, email address, and phone number.
You may opt-out of receiving communications from LogicGate regarding LogicGate’s products and services at any time by using the unsubscribe link in the footer of our communications. This opt-out will not apply to the communications or purposes necessary to successfully provide you with the specific event or to address a cancellation or termination of your registration. As explained in the “Right to Share Personal Business Information” below, a specific opt-out is provided in relation to provision of your Personal Business Information to our Sponsors.
LogicGate has engaged a processor to assist in provision of registration services. At some in-person events, this processor may additionally host an app, using the Personal Business Information provided at registration, that will provide the capability, when you so chose, for Sponsors to scan your app and directly receive your Personal Business Information.
Right to Share Personal Business Information
By registering for this Event, and opting in to such use (“Opt-In”), you grant to LogicGate the right to share the Personal Business Information that you provide to us at the registration, sign-up or any time prior to the Event’s conclusion, with LogicGate’s employees, Event sponsors (when applicable) and other Participants who have a legitimate business interest in contacting you with further information regarding their products and/or services, or as requested by you during the Event, and without further consent from you or payment to you (“Right to Share Personal Business Information”). You further acknowledge and agree that the Opt-In grants LogicGate the right to share your Personal Business Information as outlined herein, and that you may be contacted by LogicGate’s employees, Event sponsors and other Participants and that they may use your Personal Business Information in accordance with their own privacy policies. For the avoidance of doubt, LogicGate will not sell or rent your Personal Business Information to any third party.
You have the right to opt-out of the Right to Share Personal Business Information with LogicGate at any time by sending an email to [email protected], with a subject line including “Opt-Out Request”, with your formal request to opt-out. Additionally, individual communications from Sponsors and other Participants will include an unsubscribe link.
LogicGate shall handle any information or materials provided or presented by you to us (i.e., your Personal Business Information) in accordance with our Privacy Policy, which is hereby incorporated by reference into these Terms, and shall take all commercially reasonable steps to protect your privacy and comply with applicable data protection laws
Should you share your information directly with a sponsor at an Event (e.g., by scanning your badge at a sponsor’s booth), you acknowledge and agree that you are opting-in to receiving contact by or communications from that sponsor and that LogicGate shall have no obligation or responsibility for the use of your personal information by that Sponsor. Any opt-out (as described above) or request to unsubscribe shall be between you and the sponsor.
Data Privacy Rights and Data Access Requests
As explained in our Privacy Policy, LogicGate provides for Data Privacy Rights in accordance with the applicable jurisdiction. For this event LogicGate is a Controller and will handle any Data Access Requests (also referred to as a Data Subject Access Request or Consumer Request) accordingly for us and our vendors. Please be advised that once our Sponsors receive your Personal Business Information, they will also be Controllers. LogicGate will forward your Data Access Request to our Sponsors, but they may subsequently contact you to ensure your request is inclusive of their organization (as you may have formed a separate relationship with them) and additionally verify your identity.
Right to Use Photographs and Recordings
By participating in the Event, you grant LogicGate, Event sponsors and our partners the unconditional, irrevocable right and permission to document, film, photograph, record and publish, and capture your voice and image, without compensation or consideration of any kind, any photographs, video recordings and audio recordings, in whatever medium, taken during the Event (collectively, “Photos and Recordings”), which may include your image and/or likeness, solely for business purposes. Such purposes may include, but are not limited to, the following: marketing materials, promotional campaigns, social media posts, and advertisements.
You irrevocably, release and authorize us, our agents, employees, Event sponsors and partners the rights and permissions to use, reproduce, modify, distribute, and translate all or any part of the Photos and Recordings in any format or medium now or hereinafter created throughout the world. You represent that you have the necessary rights and permissions to grant the authorization and that your Photos and Recordings, shared with LogicGate to be used as outlined above, do not violate any intellectual property or proprietary rights of any person or entity and represent that any participants and attendees in your photos and/or recordings have also consented to such use.
You irrevocably and perpetually waive all legal and equitable rights, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, libel, defamation, invasion of any rights of privacy, violation of rights of publicity, or any similar claim or cause of action in tort, contract, or any other legal theory, now known or hereafter known in any jurisdiction throughout the world arising from the Photos and Recordings.
Feedback
You acknowledge that you may provide ideas, suggestions, recommendations, or improvements (“Feedback”) to LogicGate before, during, or after your participation at the Event. You assign and agree to assign to LogicGate all right, title and interest in and to such Feedback. You agree to reasonably assist LogicGate in perfecting any rights to such Feedback.
Cancellation and Termination
Your Cancellation
If registration fees or other fees are required for the Event, cancellation instructions and the Event’s refund policy, if applicable, will be listed on the Event registration page or website.
LogicGate Cancellation
We may cancel all or any part of the Event at any time for any reason, and we may deny, limit, or cancel your Event registration at any time. LogicGate is not responsible for any damages, direct or indirect, resulting from such cancellation. If we cancel the Event, we will issue you a refund in accordance with the refund policy, if applicable.
If the Event is canceled for any reason, or for no reason, and after the Event date if the Event occurs, those sections of these Terms that are intended to survive shall survive and will continue to apply.
Risk, Liability, and Indemnification
We aim to create a safe and secure environment at all our Events and ask that you help encourage the safety, trust, and security of everyone at the Event.
Assumption of Risk
You acknowledge that attending and participating in the Event is completely voluntary and that you understand the nature of the Event. You agree that you have carefully considered the risks inherent in any activities that you choose to take part in and that you have taken reasonable precautions before attending or participating in a LogicGate Event. To the maximum extent permitted by law, you agree that you knowingly and voluntarily assume the risks associated with attending and participating in the Event.
Release of Liability
To the maximum extent permitted by law, you (and anyone else who might make a claim on your behalf or as a result of your death or injury) hereby release, waive, and discharge LogicGate, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns, from any and all claims, demands, causes of action, damages, losses, or expenses (“Claims”) that you may have now or in the future associated in any way with the Event, Photos and Recordings, and/or Feedback.
Limitation of Liability
LOGICGATE’S MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH THESE TERMS, THE EVENT, PHOTOS AND RECORDINGS AND/OR FEEDBACK WILL NOT EXCEED THE EVENT REGISTRATION FEES PAID BY YOU TO LOGICGATE. IN NO EVENT WILL LOGICGATE BE LIABLE FOR ANY CONSEQUENTIAL, PUNITIVE OR INCIDENTAL DAMAGES OF ANY KIND, REGARDLESS OF THE NATURE OF THE CLAIM (INCLUDING NEGLIGENCE). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Indemnity
You agree to indemnify and hold LogicGate, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns harmless, including costs, liabilities and legal fees, from any Claims made by any third party due to, related to, or connected with your attendance or conduct at the Event or any related event.
Governing Law and Dispute Resolution
These Terms and any claim, demand, cause of action, controversy, or dispute that may arise between you and us are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. You agree to the personal jurisdiction by and venue in the state and federal courts in Cook County, Illinois, and agree and consent the exclusive jurisdiction of any state or federal court sitting in Cook County or in the United States District Court for the North District of Illinois.
Miscellaneous
Modifications
We may update these Terms at any time by posting a revised version on our website and updating the “Last Updated” date accordingly. The modified Terms become effective upon posting. By attending the Event, you agree to be bound by the most recent Terms. It is your responsibility to check our website regularly for modifications to these Terms.
Compliance
You represent and warrant that you and the financial institution(s) you used to pay any fees required for the Event are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties, or owned by such a party by an applicable government authority.
Severability and Waiver
If any provision in these Terms is invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the extent necessary, and the rest of the Terms remain in full force and effect. Any failure on LogicGate’s part to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
Force Majeure
LogicGate shall not be held responsible for any delay or failure in performance of its obligations hereunder to the extent such delay or failure is caused by fire, flood, strike, civil unrest, governmental or military authority, acts of god, acts of terrorism, acts of war, epidemics, the availability of the venue or other similar causes beyond its reasonable control and without the fault or negligence of LogicGate or its subcontractors. For one or more of such reasons, LogicGate may postpone, reschedule or cancel the Event without liability on the part of LogicGate. If the Event cannot be held or is postponed pursuant to this section, LogicGate shall not be liable to you for any damages, costs or losses incurred, such as transportation costs, accommodations costs, or financial losses.
Entire Agreement
These Terms, and any terms incorporated by reference, state the entire agreement between you and us, and supersede any prior or contemporaneous agreements relating to the subject matter of these Terms. These Terms include links to other agreements or notices, which are hereby incorporated by reference.
